The following are the terms and conditions governing articles submissions to the www.usadailypost.com Web site (hereinafter ” USA Daily Post “). We ask that you (hereinafter “The Author “) read the terms of the Agreement (hereinafter “Agreement”) with www.usadailypost.com carefully.

Preamble

By submitting your article, commentary, Op-Ed, report, recommendation, review, analysis or other content (” Content”) to USA Daily Post, The Author agrees to these terms and conditions. USA Daily Post reserves the right, in its discretion, to change or modify all or any part of this agreement at any time, effective immediately upon publishing such changes or modifications. If The Author does not agree, then The Author should not submit any Content to  USA Daily Post.

About The Content

By submitting any Content to USA Daily Post, The Author represents that he/she has full rights to send us the Content and that sending us the Content for publication on USA Daily Post will not violate or infringe the rights of any third person or party, including but not limited to, rights in copyrights, patents, trademarks, service marks, trade secrets or other proprietary rights. The Author also represents and understands that he/she will not receive any form of compensation from USA Daily Post for the Content he/she is submitting. The Author further understands that submission of any Content to USA Daily Post does not in any way guarantee the Content will be published or appear on USA Daily Post.

When it comes to opinion pieces, USA Daily Post is open to all views. We encourage our readers which ever political border they are – blue, red, independent – to express their opinions on any piece they see on our website or on any topics they are interested in writing about. It’s always a good thing to have someone who takes the opposite stand which strongly argues the piece. If you want to write a piece for our news site, feel free to do so. Depending on your idea or the topic you want to write about, pieces can vary from 500 to 1500 words, with most articles running from 750 to 1200 words. But to increase the chance of seeing your article published, we recommend you first send a quick summary of your idea to our editor. Send an email to [email protected] and once you receive the feedback, then you can write your piece. However if your piece is already written you are also welcome to send it to us and we will review it for publication.”

Author grants to USA Daily Post the following rights to the Content:

a) The worldwide and perpetual right to include the Content in print and non-print products anywhere in the world. b) The worldwide and perpetual right to electronically publish and distribute the Content in all versions of USA Daily Post in any language and the right to translate and electronically publish and distribute the Content to other sites under license or contract with USA Daily Post; c) The worldwide and perpetual right to include the Content in advertising and promotion; Finally, we may delete any Content at any time, without any notice to the Author.

The Author Represents and Warrants To www.usadailypost.com   that:

The Author is the sole author and owner of the Content and have the full power and authority, free of any rights of any nature whatsoever by any other person or party, to enter into this Agreement and to grant the rights, which are being granted by this Agreement. The Content does not and if published on USA Daily Post, will not infringe upon any copyright or any proprietary right at common law or otherwise. The Content is based on true facts and diligent research. The Author will not enter into any subsequent Agreement or understanding with another person or entity which might conflict with the rights granted to USA Daily Post under this Agreement regarding the Content. The Author acknowledges that the fee for the Content will be $0 and an email and site link within the article. www.usadailypost.com is under no obligation to publish Author’s submitted Content.

The Author Further Represents That He/She Will:

Disclose any pecuniary or non-pecuniary interest He/She may directly or indirectly, have in any security, company, or financial product, which is the subject matter of the Content. If a member of The Author’s family, or an entity in which The Author is a shareholder has a pecuniary or non-pecuniary interest in the security, company, or financial product that must be disclosed as well. Make certain any hypertext links within the Content are active and working, obtain any necessary approvals from that company or entity, and make certain that such linking does not violate any copyrights, patents, trademarks, service marks, trade secrets or other proprietary rights. Not make any statement that The Author knows, or should have reason to know is untruthful and/or unlawful. Not submit any Content that is defamatory, libelous, obscene, or in violation of any law. Not submit any Content that contains any viruses, “worms”, “trojan horses” or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; Disclose your true identity and not impersonate any person or entity, or misrepresent your affiliation with any person or entity; Not forge e-mail headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted to USA Daily Post;

Not upload, post, email or otherwise transmit any Content that you do not have a right to transmit under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements); Not intentionally or unintentionally violate any applicable local, state, national or international law, including, but not limited to, regulations promulgated by the U.S. Securities and Exchange Commission, any rules of any national or other securities exchange, including, without limitation, the New York Stock Exchange, the American Stock Exchange or the NASDAQ, and any regulations having the force of law; Not publish the Content in violation of this Agreement. The Author agrees to cooperate with USA Daily Post in its defense of any action related to the Content. In addition, you agree to indemnify and hold USA Daily Post harmless from any and all claims, losses and expenses that are a result of your breach of the foregoing representations.

Termination Of Service

USA Daily Post reserves the right, in its sole discretion, to restrict, suspend, or terminate the site at any time, for any reason without prior notice or liability. USA Daily Post may change, suspend, or discontinue all or any aspect of the site at any time.

Indemnification

The Author agrees to indemnify, defend and hold harmless USA Daily Post, its officers, directors, employees, agents, licensors, suppliers and any third party information providers to the USA Daily Post from and against all claims, losses, expenses, damages and costs, including reasonable attorneys’ fees, resulting from any violation of this Agreement (including negligent or wrongful conduct) by The Author or any other person accessing the site.

Miscellaneous

The Author agrees that this is the entire Agreement between Him/Her and USA Daily Post related to the Content and that this Agreement supersedes all previous agreements and understandings related to the Content. Any disputes related to this Agreement shall be governed by the laws of the United States of America and Author consents to the jurisdiction of the courts of the same. USA Daily Post reserves any and all rights not expressly stated herein.
